In accordance with Articles 6, 7, and 13 of the Law of August 3, 1955, governing the formation and operation of public limited companies (sociétés anonymes)—as amended by the decrees of August 28, 1960, October 16, 1967, and November 11, 1968—the Ministry of Commerce reminds all commercial and industrial companies of their obligation to submit a certified copy of their annual financial statements (balance sheets).
According to a memorandum from the MCI, this formality must be completed annually between October 1st and October 30th.
The Ministry further reminds the concerned entities that they must attach a “declaration of operation” to this copy. This declaration must be filed on a 100-gourde stamp, following the format and content established by the General Directorate of Taxes (DGI).
Additionally, the Ministry notes that any properly constituted public limited company that is not currently operating but wishes to maintain its legal status must notify the tax administration no later than January 15th of each year.
Failure to comply with this requirement will result in the revocation of the decree authorizing its operation, in accordance with the provisions of Article 38 of the Commercial Code.
